CLIENT

360 Energy Engineers, LLC (360E) is an energy service company providing truly independent, turn-key energy efficiency engineering for its clients’ facilities on an energy performance contract basis. After a comprehensive analysis of a client’s facility, 360E (i) customizes innovative solutions to solve the client’s energy, lighting, water, and other facility utilization issues while maximizing energy savings, (ii) assists the client in financing those solutions to avoid or minimize upfront capital expenditures, (iii) functions as the intermediary and project manager in overseeing the cost-effective implementation of those solutions, and (iii) delivers those energy-saving, facility-maximizing solutions with a savings guarantee.

SITUATION

Having developed their expertise with the largest international player in the category, the owners of 360E (Owners) launched their company and experienced immediate traction, explosive growth, and exceptional profitability. 360E received an unsolicited offer to sell and sought Frontier’s advisory services to analyze the offer against the market in the growing energy efficiency industry

RESULTS

After consultation, Frontier orchestrated an investment banking marketing process focused on potentially executing a recapitalization with a financial partner for the relatively young Owners, in order to provide an attractive, different alternative to the unsolicited party’s offer. The process yielded a number of compelling offers. Prior to selecting a financial partner for a recapitalization, Frontier reengaged the originally interested suitor to compare that party’s increasing interest in 360E. The Owners were able to best achieve their personal objectives and 360E’s strategic objectives by selling to Willdan Group, Inc. (NASDAQ:WLDN) and agreeing to lead Willdan’s energy performance contracting business.
